Update: Section 4.2: Two Sparrows Farm “Mindset Services” Terms and Conditions
1. ACCEPTANCE OF TERMS
By accessing or using the services of Two Sparrows Farm, LLC ("Company," "we," "us," or "our"), including our website, online ordering system, and Community Supported Agriculture ("CSA") subscriptions, you agree to be bound by these Terms and Conditions ("Terms"). Please read these Terms carefully before making any purchase or enrollment.
2. PAYMENT TERMS
2.1 Online Orders
All online sales must be paid for using a valid credit or debit card.
All orders are subject to credit card verification procedures.
We reserve the right to cancel any order that does not meet our credit card verification standards.
Once submitted, orders cannot be changed, modified, combined with other orders, or have payment methods altered.
2.2 Pricing and Taxes
All prices are in US Dollars and are subject to change without notice.
Applicable New York state sales tax will be added to purchases as required by law.
3. FLOWER CSA SUBSCRIPTIONS
3.1 Subscription Types and Schedules
Begin-to-Bloom CSA: The first bouquet is picked up during the first week of May, with weekly bouquets for four (4) weeks. The member may upgrade it to a seasonal or full-season subscription until the fourth bouquet is picked up.
Spring Season CSA: The first bouquet is picked up during the first week of May, with weekly bouquets for eight (8) weeks.
Summer Season CSA: The first bouquet is picked up during the first week of July, with weekly bouquets for eight (8) weeks.
Fall Season CSA: The first bouquet is picked up during the first week of August, with weekly bouquets for eight (8) weeks.
Full Season CSA: The first bouquet is picked up during the first week of May, with weekly bouquets for approximately twenty-four (24) weeks.
3.2 Bouquet Specifications
All Flower CSA types and schedules are sold as a bud vase or full-size bouquet subscription:
Bud Vase-style CSA bouquets are designed to fill a 6-inch-tall carafe-style vase.
All other CSA bouquets are designed to fill a 10-inch-tall carafe-style vase.
3.3 Member Discounts
Full Season Signature Flower CSA members receive a 10% discount on all additional non-cash purchases made during their CSA calendar year.
Seasonal and Bud Vase CSA members receive a 5% discount on additional non-cash purchases made during their CSA calendar year.
3.4 Pick-Up Policies
3.4.1. General Pick-Up Policies.
All bouquets are prepared for local pick-up at the time and location selected when the subscription was purchased.
Two Sparrows Farm, LLC does not ship or deliver CSA bouquets directly to members' homes or workplaces.
Members who select on-farm pick-up at Two Sparrows in Berkshire, NY, may change their pick-up date to Tuesday when Monday is a Federal holiday by emailing flowers@twosparrowsgrow.com at least 24 hours in advance.
One-time or permanent changes to pick-up location require 24 hours' notice to ensure flowers are fresh-cut and properly conditioned.
Members may send a proxy to pick up their flowers if they are unable to do so personally.
Missed or forgotten bouquets are not eligible for credit or refund, as cutting and arranging flowers incurs costs to our farm regardless of pick-up.
Members who select Monday pick-up at West Point, NY must be credentialed to
3.4.2 West Point Pick-Up Special Conditions
Customers selecting West Point as their pick-up location acknowledge that:
Access to military installations is subject to security protocols beyond the control of Two Sparrows Farm, LLC
Changes in security status may affect access to pick-up locations with little or no notice
It is the customer's responsibility to maintain valid credentials for accessing both the installation and the Cadet Area (limited to current staff and faculty)
In the event of unexpected base closure or access restrictions, Two Sparrows Farm, LLC will attempt to make alternative arrangements, but cannot guarantee availability of alternative pick-up options
3.5 CSA Subscriptions and Gift Messaging Options
3.5.1 Gift Card Options
When purchasing a Flower CSA Subscription as a gift, customers may select from the following gift messaging options:
Option 1: Direct to Recipient - Two Sparrows Farm, LLC will mail a gift card directly to the gift recipient. Customers must provide the recipient's complete mailing address during checkout for this option.
Option 2: Card to Purchaser - Two Sparrows Farm, LLC will mail a gift card to the purchaser, who may then personally give it to the recipient. The card will be mailed to the purchaser's address provided during checkout.
3.5.2 Gift Card Content
Gift cards include basic information about the gift purchased and where to pick-up their bouquets, along with the name of the person(s) who purchased the gift.
3.5.3 Timing and Delivery
Gift cards will be mailed within 72 hours of receipt of the order.
For gift cards to be received before Mother's Day, orders must be placed by May 5, 2025.
Two Sparrows Farm, LLC is not responsible for postal service delays or delivery failures.
No refunds will be issued for late delivery of gift cards due to postal service issues.
3.5.4 Gift Recipient Responsibilities
When purchasing a Mother's Day Bouquet or Mother's Day CSA Subscription as a gift, the purchaser is responsible for ensuring the recipient is aware of and agrees to these Terms and Conditions, particularly regarding pick-up requirements and schedules.
Gift recipients must follow the same pick-up procedures as all other customers.
The purchaser should ensure the gift recipient has the ability to pick up bouquets at the selected location(s) and time(s).
4. ON-FARM EVENTS AND SERVICES
4.1 U-Cut Events
Two Sparrows Farm, LLC offers on-farm U-Cut events that allow customers to personally select and cut flowers from designated areas of our farm ("U-Cut Events").
4.1.1 Assumption of Risk
By participating in U-Cut Events at Two Sparrows Farm, LLC, you acknowledge and agree that:
Farm environments contain inherent risks including but not limited to uneven terrain, weather conditions, farm equipment, insects, and plant materials.
You are voluntarily participating in these activities with knowledge of the potential dangers.
You assume full responsibility for your safety and the safety of any minors under your supervision.
4.1.2 Waiver and Release of Liability
To the fullest extent permitted by law, by using our U-Cut Event, you hereby:
Waive any and all claims that you have or may have in the future against Two Sparrows Farm, LLC, its owners, officers, employees, agents, and representatives ("Released Parties").
Release the Released Parties from any and all liability for any loss, damage, injury, or expense that you may suffer, or that your next of kin may suffer, as a result of your participation in U-Cut activities due to any cause whatsoever, including negligence, breach of contract, or breach of any statutory or other duty of care on the part of the Released Parties.
4.1.3 Indemnification
You agree to indemnify, defend, and hold harmless Two Sparrows Farm, LLC and its owners, officers, employees, agents, and representatives from and against any and all claims, demands, causes of action, losses, liabilities, damages, and expenses (including reasonable attorneys' fees and costs) arising out of or in connection with:
Any injury to yourself or others caused directly or indirectly by your actions or omissions while participating in U-Cut activities.
Any damage to property caused directly or indirectly by your actions or omissions while on our premises.
Your failure to comply with farm rules, posted signs, or staff instructions.
Your violation of any applicable laws or regulations while on our premises.
4.1.4 U-Cut Rules and Guidelines
Customers must check in at the designated area before beginning U-Cut activities.
Cutting is permitted only in designated U-Cut areas; for safety reasons, customers may not enter greenhouses.
Children under the age of 16 must be supervised by an adult at all times.
Customers must follow all posted signs and staff instructions while on the premises.
Two Sparrows Farm, LLC reserves the right to refuse service to anyone who fails to comply with these rules or whose behavior poses a safety risk.
4.1.5 Weather and Farm Conditions
Two Sparrows Farm, LLC reserves the right to cancel or modify U-Cut Events due to inclement weather, poor field conditions, or any other circumstances that may impact safety or farm operations. In such cases, we will make reasonable efforts to notify customers of cancellations.
4.1.6 Personal Property
Two Sparrows Farm, LLC is not responsible for lost, stolen, or damaged personal property brought onto the farm premises.
4.1.7 Service Animals
Only service animals as defined by the Americans with Disabilities Act (ADA) are permitted on farm premises during U-Cut events.
Service animals must remain leashed and under the direct control of their owner at all times.
Service animal owners are responsible for cleaning up after their animals.
Non-service animals and pets are not permitted on the farm during U-Cut events.
4.1.8 Restroom Facilities
Two Sparrows Farm, LLC does not provide public restroom facilities on the farm.
Customers should plan accordingly before visiting the farm for U-Cut Services.
Portable handwashing stations may be available during U-Cut events, but customers are encouraged to bring hand sanitizer for personal use.
4.1.9 Farm Conditions and Safety
The farm terrain includes uneven ground and exposed drip irrigation lines that may present trip hazards.
Customers are advised to wear appropriate footwear and to watch their step while on farm premises.
Customers should stay on designated paths when possible and exercise caution when walking through growing areas.
Parents/guardians must closely supervise children at all times to prevent trips, falls, or damage to irrigation systems.
Two Sparrows Farm, LLC is not responsible for injuries resulting from failure to exercise reasonable caution while on farm premises.
4.1.10 Photography
Photography is permitted during U-Cut events for personal, non-commercial use.
By participating in U-Cut events, customers consent to potentially appearing in the background of photographs taken by other customers or by Two Sparrows Farm, LLC staff.
Two Sparrows Farm, LLC reserves the right to take photographs during U-Cut events for promotional purposes. Customers who do not wish to appear in such photographs should notify staff upon arrival.
Commercial photography (including but not limited to professional portrait sessions) requires prior written permission from Two Sparrows Farm, LLC management.
4.2 Mindset Workshops and Coaching
4.2.1 Nature of Services
Two Sparrows Farm, LLC offers Mindset Workshops and Coaching services (“Mindset Services”) that focus on personal development and cultivating a growth-oriented mindset.
Mindset Coaching is a process where an individual works with a coach to explore, practice, and refine techniques aimed at cultivating a more positive and growth-oriented mindset.
These services involve identifying limiting beliefs and thought patterns, and then developing new, more helpful ones.
This process can lead to increased self-awareness, motivation, and the ability to achieve goals.
4.2.2 Not a Substitute for Professional Therapy
IMPORTANT NOTICE: Mindset Coaching and Workshops are NOT therapy, counseling, or mental health treatment.
Two Sparrows Farm, LLC coaches are not licensed therapists, psychologists, psychiatrists, or mental health professionals unless explicitly stated otherwise.
Our Mindset Services are not designed to diagnose or treat mental health conditions, emotional disorders, or psychological issues.
Individuals experiencing mental health challenges, emotional distress, or psychological issues should seek assistance from qualified licensed mental health professionals.
4.2.3 Client Acknowledgment
By participating in our Mindset Services, you acknowledge and agree that:
You understand the difference between coaching and therapy
You are not using these services as a substitute for professional mental health treatment
You will seek appropriate professional help for any mental health concerns
You are participating in these services voluntarily and at your own risk
4.2.4 Confidentiality
Two Sparrows Farm, LLC treats information shared during Mindset Services with respect and confidentiality.
However, unlike the legally protected confidentiality between therapists and patients, communications with coaches are not protected by legal privilege.
We reserve the right to break confidentiality if:
We believe there is a risk of harm to yourself or others
We are legally required to report information (such as in cases of abuse or court orders)
You provide written permission to share information
4.2.5 Results Not Guaranteed
While many clients experience positive outcomes from Mindset Services, Two Sparrows Farm, LLC does not guarantee specific results.
The effectiveness of coaching depends on many factors, including client participation, implementation of suggested practices, and individual circumstances.
No refunds will be provided based on dissatisfaction with results or outcomes.
4.2.6 Scheduling and Cancellation
Mindset Workshops and Coaching sessions must be scheduled in advance.
Cancellations made less than [X] hours before a scheduled session may be subject to a cancellation fee of [amount or percentage].
Two Sparrows Farm, LLC reserves the right to reschedule sessions when necessary and will provide reasonable notice.
4.2.7 Workshop Environment
Participants in group Mindset Workshops are expected to maintain a respectful and supportive environment.
Two Sparrows Farm, LLC reserves the right to remove participants who engage in disruptive, inappropriate, or harmful behavior without refund.
By participating in group workshops, you agree to respect the privacy of other participants and not share their personal information or experiences outside the workshop.
4.2.8 Intellectual Property
All materials provided during Mindset Services, including but not limited to workbooks, exercises, recordings, and digital content, are the intellectual property of Two Sparrows Farm, LLC or its licensors.
These materials are provided for personal use only and may not be reproduced, distributed, or used for commercial purposes without written permission.
4.2.9 Assumption of Risk and Indemnification
By participating in Mindset Services, you assume all risks associated with such participation and agree to indemnify, defend, and hold harmless Two Sparrows Farm, LLC from any claims arising from your participation.
5. MOTHER’S DAY OFFERINGS
5.1 Pre-Order Mother’s Day Bouquet
The Pre-Order Mother’s Day Bouquet is a one-time floral arrangement specially designed for Mother's Day celebrations. All Pre-Order Mother's Day Bouquets are designed to fill a 10-inch-tall carafe-style vase.
5.1.1 Ordering and Payment
All Pre-Order Mother’s Day Bouquets must be ordered and paid for in advance through our website or other designated ordering channels.
Orders are subject to availability and may close prior to the listed deadline if maximum capacity is reached.
Payment terms outlined in Section 2 of these Terms and Conditions apply to all Mother's Day Bouquet orders.
5.1.2 Pick-Up Options
Customers must select their preferred pick-up location and time during checkout.
Available pick-up options include:
Two Sparrows Farm during our Mother’s Day U-Cut (Sunday, May 11 from 9:00 AM to 3:00 PM)
Broome County Regional Farmers Market (Saturday, May 10 from 9:00 AM to 1:00 PM)
Ithaca Farmers Market (Saturday, May 10 from 9:00 AM to 3:00 PM)
Two Sparrows Farm, LLC does not offer delivery services for Pre-Order Mother's Day Bouquets.
5.1.3 Missed Pick-Ups
Customers who fail to pick up their Pre-Order Mother's Day Bouquet during their selected time window forfeit their bouquet and are not eligible for a refund or credit.
If you are unable to pick up your bouquet personally, you may send a proxy to collect it on your behalf.
5.2 Mother’s Day CSA Subscription
The Mother's Day CSA Subscription includes four (4) weekly bouquets, beginning with a special Mother's Day bouquet and continuing for three (3) additional weeks.
5.2.1 Enrollment and Payment
All Mother's Day CSA Subscriptions must be purchased in advance through our website or other designated ordering channels.
Subscriptions are subject to availability and may close prior to the listed deadline if maximum capacity is reached.
Payment terms outlined in Section 2 of these Terms and Conditions apply to all Mother's Day CSA Subscriptions.
5.2.3 Pick-Up Selection Requirements
Customers must make two separate pick-up selections during checkout:
First bouquet pick-up (Mother's Day bouquet)
Regular pick-up location for the remaining three (3) bouquets
5.2.4 First Bouquet Pick-Up Options
For the first bouquet (Mother’s Day bouquet), customers may select from:
On-farm during our Mother’s Day U-Cut (Sunday, May 11 from 9:00 AM to 3:00 PM)
Broome County Regional Farmers Market (Saturday, May 10 from 9:00 AM to 1:00 PM)
Ithaca Farmers Market (Saturday, May 10 from 9:00 AM to 3:00 PM)
5.2.5 Remaining Bouquets Pick-Up Options
For the remaining three (3) bouquets, customers may select from the following pick-up sites at checkout:
Tuesdays on our farm in Berkshire, NY from 3:00 PM to 6:00 PM
Saturdays at the Broome County Regional Farmers Market from 9:00 AM to 1:00 PM
Saturdays at the Ithaca Farmers Market from 9:00 AM to 3:00 PM
5.2.6 Pick-Up Policy Enforcement
The pick-up policies outlined in Section 3.4 of these Terms and Conditions apply to all Mother's Day CSA Subscription bouquets.
Missed or forgotten bouquets are not eligible for credit or refund, as cutting and arranging flowers incurs costs to our farm regardless of pick-up.
5.2.7 West Point Pick-Up Special Conditions
See Section 3.4.2 of our Terms and Conditions.
5.3 Mother’s Day CSA Subscription Gift Messaging Options
See Section 3.5 of our Terms and Conditions.
5.3 Applicability of U-Cut Terms
Customers who pick up their Mother's Day Bouquet or first Mother's Day CSA bouquet during the on-farm Mother's Day U-Cut event are subject to all terms outlined in Section 9 (On-Farm U-Cut Events) of these Terms and Conditions, including all waivers, releases, and indemnifications contained therein.
6. REFUNDS AND CANCELLATIONS
6.1 Flower CSA Subscriptions
All Flower CSA subscriptions are fully refundable until the first bouquet has been picked up.
After the subscription has started (i.e., after the first bouquet has been picked up), subscriptions may be refunded on a pro-rated basis calculated using the following formula:
Refund Amount = Total Subscription Price × (Number of Remaining Bouquets ÷ Total Number of Bouquets in Subscription)
For example, if a customer paid $200 for an 8-week subscription and cancels after receiving 3 bouquets, the refund would be: $200 × (5 ÷ 8) = $125
Refund requests must be submitted in writing to flowers@twosparrowsgrow.com.
Refunds will be processed within 5 business days and will be issued to the original payment method.
6.2 Other Products
Pre-Order Bouquet sales, event deposits, and tickets to on-farm U-Cuts and Workshops are final and will not be refunded.
7. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Two Sparrows Farm, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
Your use or inability to use our services
Any unauthorized access to or use of our servers and/or any personal information stored therein
Any interruption or cessation of transmission to or from our services
Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services
8. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located within Tioga County, New York.
9. CHANGES TO TERMS
Two Sparrows Farm, LLC reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
